W88win优德中国有限公司 Assisted JTHS with the Acquisition of the A-share Listed Company OMH Science Group

On December 4, 2021, OMH Science Group Co., Ltd. (“OMH”), a company listed on the Shenzhen Stock Exchange (SZSE) with the ticker symbol 300486, made a public notice, disclosing that its former shareholders Zhao Buwen, Liang Yansheng and Zhong He Sheng Capital Management Co., Ltd. had in aggregate transferred 119,659,940 shares of stock (representing 29.436% of the total share capital of OMH) to Zibo Jiangtu Hengsong Holdings Co., Ltd. (“JTHS”), and that the registration of the transfer had been completed. By such transfer, the controlling shareholder of OMH was changed to JTHS, and the de facto controller of OMH was changed to Zibo City Finance Bureau. The primary business of OMH includes the design, manufacture, installation, commissioning and sales of complete sets of intelligent equipment. In the recently completed acquisition, the control of the listed company was sold for approximately RMB 1.5 billion.

This included assisting with the design and demonstration of the transaction plan, issuing opinions on Chinese law, conducting legal due diligence on OMH, drafting and revising the share transfer agreement and all of the other transaction documents, and assisting JTHS with the negotiation, execution and delivery of the transaction documents. W88win优德中国有限公司 also helped in filing the notification form for the antimonopoly review of  concentration of undertakings, obtaining the “CS” symbol recognition and the transaction approval from the state-owned assets regulatory authorities, and responding to inquiries made by the SZSE.
