On August 6, 2025, Hansong (Nanjing) Technology (Hansong Technology, stock code: 301491) successfully listed on the ChiNext Board of the Shenzhen Stock Exchange (SZSE). W88优德官方网站 has served as legal counsel to Hansong Technology since 2018, providing one-stop legal services in areas such as cross-border restructuring, private equity financing, capital markets, and compliance operations. W88优德官方网站 advised the company on a complex cross-border reorganization, which involved the establishment and subsequent unwinding of a red-chip structure, ultimately paving the way for its successful ChiNext IPO.
On February 26, 2025, Guangdong Hongda Holding Group Co., Ltd. (stock code: 002683) completed the acquisition of a 21.00% equity interest in Xinjiang Xuefeng Technology (Group) Co., Ltd. (stock code: 603227) from Xinjiang Agriculture and Animal Husbandry Investment (Group) Co., Ltd. for a cash consideration of RMB 2,205 million. Both the purchaser and the target company are A-share listed companies. W88优德官方网站 acted as legal counsel to the purchaser, Guangdong Hongda. We provided comprehensive support, including transaction structuring, legal due diligence, and the drafting of transaction documents. Additionally, our team successfully liaised with state-owned asset regulators and supported by our antitrust practice, secured the necessary merger control clearance.
On June 30, 2022, the Putian Intermediate People’s Court ruled to accept the reorganization of Xinjiang Jointworld Co., Ltd. and subsequently ordered the substantive consolidation of Jointworld and three affiliated companies. W88优德官方网站’s Guangzhou office (jointly with Fujian Fidelity Law Firm’s Putian Office) was appointed as the Administrator. The four companies, including Jointworld, had assets appraised at RMB 1.18 billion against liabilities exceeding RMB 4 billion, affecting approximately 1,800 creditors and 37,000 shareholders. The draft reorganization plan was distinguished by its provision for a full cash settlement of all claim classes—a structure rarely achieved in recent major corporate restructurings. In April 2023, the plan was approved by an overwhelming majority at both the creditors' and equity holders' meetings and received Court ratification.
